A takeover bid must offer the same price to all shareholders.
However, a large "facilitation payment" paid into an offshore bank account for 'setting up the deal' would bypass these restrictions.

Souness loved the Queen but wouldn't pay her taxes on the bribe he received from Rangers for the Tugay transfer.
