Corps in the U.S. were originally life-limited & only non-profit. They're statutory entities, not mentioned anywhere in the Constitution. Like, what is the penalty for a corporation committing a felony crime? A monetary fine? Loss of contracts? Ask Boeing - they basically laughed off criminal liability for knowingly building unsafe airplanes...

1/2 This. Corps were originally formed to allow for limited liability in the creation and distribution of their products/services. that limited liability was not supposed to inoculate management from liability for criminal acts by the corporation.
