The program permits repurchases of outstanding ordinary shares from time to time with no expiration date, and may be executed in the open market, via privately negotiated transactions, or by other methods. The company said repurchases will depend on share price, business and market conditions, and that the program may be modified, suspended, or terminated. Management cited a disciplined capital allocation approach and a strong balance sheet as reasons for authorizing the repurchase.

Elastic (NYSE: ESTC) completed its acquisition of Jina AI on October 9, 2025, enhancing Elastic's capabilities in vector search, retrieval-augmented generation (RAG), and context engineering.The deal adds multimodal and multilingual dense embeddings, advanced rerankers, and specialized small language models to complement Elastic's ELSER model. Jina AI's models will continue to be released on Hugging Face and will be available for enterprise use via the Elastic Inference Service (EIS) on Elastic Cloud. The acquisition also expands Elastic's AI research team, intended to accelerate model innovation and improve retrieval relevance for unstructured text and images.
