In a word, yes; she was designed and developed for draft (and sealed) primarily, so we needed her to be restrictive enough to make you adjust your draft decisions in new ways to optimize her #FFGStaff

Correct, the abilities are only lost while they're attacking. If they have damage and grit, you can (probably) play Fell the Dragon, and When Defeated still works if you're attacking them (though it wouldn't work if that unit was doing the attacking) #FFGStaff
