Right, but how bad it’d be, who it would be bad for, and in what way depends on an intuition about how frequently a vote would be contrary to a court decision. Many such votes might reflect poorly on the courts.

Gaming this out a bit, it’s a very specific new fact—a shareholder vote contrary to the trial judgment. The degree of upset to finality would depend on how frequently it would be available. I have no idea how often that would be, but I would hope not often. Seems bad if often.

Why as a rule would it upset the finality of trial court judgments more than the existence of appellate courts? That finality story seems overly simplistic.
